Isn't that generally how you go about coding a WP theme? You start with the design, get the pages all coded up, then place in the WP elements to make it work properly.

Just code the design into xhtml and css. Then, you'll open all the files (index.php, style.css, header.php, sidebar.php, archive.php, etc.). You'll be able to see that it is coded in XHTML with PHP commands in it, just redo all the XHTML, just copy and paste the PHP into your documents. Make sure to put everything back in order, and you'll be perfectly fine. Practice makes perfect.

wpdesigner.com is a great place to start.

You just need to learn how to make your designs in css/xhtml and implement of a bit of php to make a functional wordpress theme.

I think it's really simple. You have to go to your /themes folder, in where you will find the standard one. Open the index.php, the sidebar.php, the archive.php, etc. Try editing these files and see what you get. I repeat, it's really simple (IMHO).
Sure, you need to know a little bit of HTML, CSS and PHP.
