First thing I noticed that there is no true place which tells a new user what the site is about. I only found out from the logo font (which not everyone will notice), and finally reading through the forum topics.
Another thing is that it just seems very childish, and has no real sign of having a mature owner. I know it's geared towards the younger crowd, but I'd bypass the -=TITLE=- crap, along with horrible descriptions and all-caps text. Kids will understand perfect english, too.
Some examples of bad copy:
"See This Gr8 Sites"
"Want to make money??"
"DISCUSSIONS ABOUT ANY NOVELS ALBUMS MOIVES,, ALL OVER HERE,, EVEN ON ANY NEWS ALSO"
Lastly, get a good domain, at least. There are a few things wrong with your current one:
1. 'Cauldron' is spelt wrong.
2. co.cc is a bad domain extension.
3. Doesn't describe the specifics of the site very well.. very vague.

thank you very much for your advice..
i will try to add site description on front page.
and will buy domain asap.
all caps thing will also be sorted out.
title thing we intentionally kept that as i found that many people liked it.
the description i kept that coz i m targeting mostly noel readers and free soft gatherers.

The background is too light compared to the center content, and I feel I'm not looking at the content enough. Just a shade darker would be sufficient.
The layout just seems a tad bit unorganized. I think you could improve this by making all the margins and padding the same. For example, the margin between the divs in the center of the layout are much closer than their outer margins to the edge of the outer div.
It would be nice if you added a welcome message and description of your website somewhere near the top so I'd know what I was looking at right when I got to the website, opposed to searching for what kind of website I'm even on.
It also seems a bit spammy...place the ads better or remove some.
Other than those, it looks like a nice site. A good, active forum with targeted visitors.

This design needs some work. There is not enough gradients/gloss and too much black. The website background doesn't flow with the design.
Awesome magic clock by-the-way!
